This is my motherboard: GIGABYTE GA-G31M-ES2L

What else do I need to know? Does 32 vs 64 bit really matter in the OS software?

yeah it will work on that board. The real question is what processor are you going to use in the board? The cpu needs to be able to run a 64 bit os.

If you want to use more than 3gb of ram then you need to have the 64 bit version.

4gb

2^32 = 4294967296 bytes = 4gb

Common misconception, you're partially right in that windows will hog/lock down ~1 gb and you can only see 3gb, but all 4 are being used in 32 bit windows os.

As for the OP. There really is no reason to go with 32 bit anymore, 64 is the way to go.

I would get the 64 bit. That is if your running a 64 bit processor

So the 64 bit version will work with that motherboard?

Yes

Right, it can see upto 4gb. But it will reserve some for hardware memory adderess. The end amount available to the OS depends on what hardware you have. Anywhere between 3 and 4gb usually. Less then 3 sometimes if your runnig SLI/CF setups.

Ok. But will 64bit software work with my board?

Yes
